1. ACCEPTANCE OF TERMS

2. ELIGIBILITY & USER ACCOUNTS

2.1 Eligibility

By accessing or using the Services, you represent and warrant that: you are legally competent to enter into a binding contract in accordance with the Indian Contract Act, 1872; and

• your use of the Services complies with all applicable laws, rules, and regulations of India, and where applicable, the jurisdiction of Bengaluru, Karnataka.

2.2 Account Registration

• You must provide accurate, current, and complete information during registration.
• You are responsible for maintaining the accuracy of your account details.

2.3 Account Security

• You are solely responsible for safeguarding login credentials.
• Any activity performed using your account is deemed authorized by you.
• You must immediately notify Selfeey of unauthorized access, suspected security breaches, or compromise of credentials.
• Selfeey shall not be liable for losses caused by unauthorized use of your account.

3. USE OF SERVICES

The Services may include HRIS, Recruitment Software, Payroll, AI-driven analytics, collaboration tools, and other cloud-based business solutions.

You agree to use the Services only for lawful purposes, in accordance with these Terms, and as per applicable product documentation and usage guidelines.

Selfeey may update, modify, or discontinue any part of the Services at its discretion, with or without notice, subject to applicable law.

4. LICENSE & USAGE RESTRICTIONS

4.1 License Grant

Selfeey grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes during the subscription term.

4.2 Restrictions

You shall not, directly or indirectly:

• reverse engineer, decompile, or disassemble the Services,
• copy, modify, or create derivative works,
• resell, sublicense, or commercially exploit the Services,
• bypass security or access controls,
• use the Services to develop a competing product,
• misuse AI models, analytics, or automated features.

Any unauthorized use terminates the license immediately.

5. PAYMENTS, FEES & SUBSCRIPTIONS

Certain Services are provided on a paid subscription basis.

Fees, billing cycles, taxes, renewal terms, and refund policies are defined in product-specific agreements, order forms, or pricing pages, and are exclusive of applicable taxes unless stated otherwise.

Failure to make timely payments may result in suspension of Services, termination of account, or data access restrictions.

6. PROHIBITED ACTIVITIES

You agree not to engage in any activity that:

• violates applicable laws or regulations,
• infringes intellectual property or privacy rights,
• uploads malware, viruses, or malicious code,
• enables unauthorized access or hacking,
• involves spamming, phishing, or deceptive practices,
• abuses system resources or impacts service availability,
• uses the Services for illegal, unethical, or harmful purposes.

Selfeey reserves the right to investigate and take appropriate action, including suspension or termination.

7. DATA, PRIVACY & SECURITY

Selfeey processes personal and business data in accordance with its Privacy Policy, Data Protection Policy, and applicable data protection laws (including India's DPDP Act and GDPR, where applicable).

Users remain the data controllers for data uploaded to the Services.

Selfeey implements reasonable administrative, technical, and organizational safeguards but does not guarantee absolute security.

8. INTELLECTUAL PROPERTY RIGHTS

All rights, title, and interest in the Services, including software, AI models, algorithms, trademarks, documentation, designs and content, are the exclusive property of Selfeey.

Nothing in these Terms transfers ownership or grants implied rights to Users beyond the limited license expressly stated.

9. THIRD-PARTY SERVICES

The Services may integrate with third-party platforms, APIs, or services.

Selfeey is not responsible for third-party content, availability, data handling practices, or terms imposed by third parties.

Your use of third-party services is governed by their respective terms.

10. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Selfeey shall not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, goodwill, or business interruption.

Selfeey's total aggregate liability for any claim shall not exceed the total amount paid by you for the Services in the twelve (12) months preceding the claim.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Selfeey, its directors, officers, employees, and affiliates from any claims, damages, liabilities, losses, or expenses arising from:

• your violation of these Terms,
• misuse of the Services,
• breach of applicable laws,
• infringement of third-party rights.

12. TERMINATION & SUSPENSION

Selfeey may suspend or terminate access for violation of these Terms, non-payment of fees, legal or regulatory requirements, or security or risk concerns.

Upon termination, all licenses immediately cease, access to Services may be revoked, and data retention and deletion shall follow Selfeey's Data Retention Policy.

13. MODIFICATIONS TO TERMS

Selfeey may update these Terms from time to time.

Continued use of the Services after updates constitutes acceptance of the revised Terms.

14. GOVERNING LAW & JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of India.

Courts of competent jurisdiction in India shall have exclusive jurisdiction over all disputes arising from or relating to these Terms.
